1. 🧑‍🏫 Services Provided

• We offer technical training programs including, but not limited to, industrial workforce technical training, engineering training, Program Management training, Research and Development/ Innovation training, STEM awareness training, and tutoring services.

• Training may be delivered in-person, online, or via hybrid formats.

• We offer technical consulting services in engineering, and innovation based on proposal provided by STEMTALK Training System tailored to meet the customer requirements.

2. 📝 Registration and Payment

• Registration is confirmed upon receipt of a Purchase Order, full payment or an approved payment plan.

• All fees are listed in USD and are subject to applicable taxes.

• We reserve the right to cancel or reschedule courses. In the event of a cancellation or rescheduling, the customer will receive advance notice by e-mail or text. In such cases, participants will be offered a refund or alternative dates.

3. 💳 Refund and Cancellation Policy

• Cancellations by customers made more than ten (10) days before the course start date are eligible for a  refund but are subject to a fee to cover our costs of preparation of the customized materials.

• Cancellations within ten (10) days are subject to a 50% cancellation fee and are subject to a fee to cover our costs of preparation of the customized materials .

• No refunds will be issued once the course has started.

4. 📚 Course Materials and Intellectual Property

• All training materials are the intellectual property of STEMTALK Training Systems or its licensors, unless agreed upon in writing per the terms of a specific contract or order.

• Participants may not reproduce, distribute, or share materials without written permission.

5. 👤 Code of Conduct

• Participants must behave professionally and respectfully toward instructors and peers.

• Disruptive behavior may result in removal from the course without refund.

6. 🔐 Privacy and Data Protection

• We collect personal data for registration and communication purposes.

• Your data will be handled in accordance with our Privacy Policy [on Contact us page].

7. ⚠️ Limitation of Liability

• We are not liable for any indirect, incidental, or consequential damages arising from your participation.

• Use of the Service.

• In no event will STEMTALK Training Systems LLC be liable for (I) Any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the service, or any information, or transactions provided on the service, or downloaded from the service, or any delay of such information or service. Even if STEMTALK Training Systems LLC or its authorized representatives have been advised of the possibility of such damages, or (II) Any claim attributable to errors, omissions, or other inaccuracies in the service and/or materials or information downloaded through the service.

• Our total liability is limited to the amount paid for the training program.

8.  Indemnification.

You agree to indemnify, defend and hold harmless STEMTALK Training Systems LLC, its officers, directors, employees, agents, licensors, suppliers and any third-party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.

9. Restriction and Termination of Use

STEMTALK Training Systems LLC may block, restrict, disable, suspend or terminate your access to all or part of the Site and/or  STEMTALK Training Systems LLC _ Content at any time in STEMTALK Training Systems LLC 's discretion, without prior notice or liability to you. Any conduct by you that, in STEMTALK Training Systems LLC’s sole discretion, restricts or inhibits any other person or entity from using or enjoying the Site is strictly prohibited and may result in the termination of your access to the Site without further notice.

10. 🏛 Governing Law

• These Terms are governed by the laws of the State of Georgia, United States.

• Any disputes shall be resolved in the courts of Fayette County, Georgia.
